A workshop by Ms. Samta, practicing Company Secretary from Samta K Simmy and Associates, Noida was held on 25 March 2017. The session was about how to conduct Annual General Meeting and Board Meeting, organized in RNB Global University for BBA 4th semester and B.Com 2nd semester students. In the beginning of the session Mr. Kshitiz Jangir introduced Ms. Samta to the audience mentioning that she has a vast experience of a decade in Corporate and Compliance. She has completed compliance procedure of various corporate entities in India and abroad. The session was divided in two parts. The first part of the session was to teach about the basic aspects of the Annual General Meeting and Board Meeting and the second part provided students with actual examples of the meeting. Ms. Samta made the session interactive and students seem interested in grasping and broadening their knowledge on how a meeting is conducted in practical working atmosphere.
Ms. Samta provided a practical perspective of how the Board and Members meeting are conducted in real scenarios. With the help of live examples, based on her own experience, the students came to know the various problems which are faced by company secretaries while conducting a meeting. The various problems which were discussed included logistics for conducting the meetings, requisitions of the meeting and procedure to be followed while voting. The session was quite interactive and interesting as students were shown Board Room setup and videos of AGM of three corporates including Capgemini and ITC.
The role of Company Secretary was also discussed with the students, taking into the domain the role of CS before the meeting, during the meeting and after the meeting. The crucial and important area of Voting was also explained in detail. Students were told about the exact procedures of different kind of voting and the procedure to conduct these.
During this interactive session, students raised several questions pertaining to the procedure of voting, logistics etc., which were answered with real world example. The session was a success as the students shared that they understood the principles and procedures of conducting a meeting. At the end of the session various documents were shared with the students and teams were prepared for conducting a mock meeting in the few days.
